1. Agreement to Terms

Welcome to ClarityText! These Terms of Service ("Terms") govern your access to and use of the ClarityText website, application, and services (collectively, the "Service") provided by ClarityText ("we," "us," or "our").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access or use our Service.

IMPORTANT: These Terms include a binding arbitration clause and class action waiver in Section 15, which affect your rights to resolve disputes. Please read them carefully.

2. Eligibility

To use ClarityText, you must:

• Be at least 18 years old
• Have the legal capacity to enter into a binding contract
• Not be prohibited from using the Service under applicable laws
• Provide accurate and complete registration information
• Maintain the security and confidentiality of your account credentials

If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Account Registration and Security

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account
• Not share your account credentials with others
• Not create multiple accounts to circumvent usage limits

We reserve the right to suspend or terminate accounts that violate these Terms or are inactive for extended periods.

4. Service Description

ClarityText is an AI-powered text transformation service that helps users convert informal thoughts and notes into clear, well-structured messages. The Service includes:

• Real-time text transformation using AI (powered by Claude Sonnet 4)
• Multiple writing style options (Professional, Direct, Email, Persuasive, Casual, Enthusiastic, Empathetic)
• Daily transformation limits based on subscription tier
• Copy-to-clipboard functionality
• Progressive Web App (PWA) installation capability

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.

5. Subscription Plans and Billing

5.1 Subscription Tiers

ClarityText offers the following subscription tiers:

• Free: 2 transformations per day, access to 3 writing styles
• Standard ($9/month): 10 transformations per day, access to all 7 writing styles
• Pro ($15/month): 20 transformations per day, access to all 7 writing styles, priority support

Pricing and features are subject to change. We will provide notice of material pricing changes.

5.2 Billing and Payments

• Subscriptions are billed monthly in advance
• All payments are processed securely through Stripe
• You authorize us to charge your payment method on a recurring basis
• Prices are in U.S. Dollars (USD)
• You are responsible for all applicable taxes
• Failed payments may result in service suspension or downgrade to Free tier

5.3 Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current rate for your subscription tier.

5.4 Cancellation and Refunds

• You may cancel your subscription at any time through your account settings or the Stripe Customer Portal
• Cancellations take effect at the end of the current billing period
• You will retain access to paid features until the end of your billing period
• No refunds are provided for partial billing periods
• We reserve the right to issue refunds on a case-by-case basis
• Refund requests must be submitted within 7 days of charge

5.5 Free Trial

We may offer free trials or promotional periods. Trial periods do not require payment information unless converting to a paid subscription. Trials may be subject to additional terms communicated at signup.

6. Usage Limits and Fair Use

Daily transformation limits reset at midnight UTC. You agree to use the Service in accordance with your subscription tier's limits and not to:

• Attempt to circumvent usage limits through multiple accounts or technical means
• Use automated scripts, bots, or scrapers to access the Service
• Share account credentials to allow others to use your allocation
• Resell or redistribute transformations generated by the Service
• Use the Service in a manner that could damage, disable, or impair our servers
• Engage in excessive usage that may degrade Service performance for others

We reserve the right to enforce fair use policies and may suspend or terminate accounts that violate these provisions.

7. Acceptable Use Policy

You agree not to use ClarityText to:

• Violate any applicable laws, regulations, or third-party rights
• Generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, or obscene
• Create spam, phishing messages, or fraudulent communications
• Distribute malware, viruses, or other harmful code
• Impersonate others or misrepresent your affiliation
• Infringe upon intellectual property rights of others
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Service or servers
• Collect or harvest user information without consent
• Use the Service for any unlawful or prohibited purpose

We reserve the right to investigate violations and take appropriate action, including account suspension or termination.

8. Intellectual Property Rights

8.1 Our Intellectual Property

The Service, including its design, code, features, branding, and content, is owned by ClarityText and protected by copyright, trademark, and other intellectual property laws. You may not:

• Copy, modify, or create derivative works of the Service
• Reverse engineer, decompile, or disassemble the Service
• Remove or alter any proprietary notices or labels
• Use our trademarks or branding without permission

8.2 Your Content

You retain all rights to the text you input into ClarityText. However, to provide the Service, you grant us a limited, non-exclusive license to:

• Process your input text through our AI transformation service
• Transmit your text to our AI provider (Anthropic) for processing
• Display the transformed output to you

Important: We do not store your input text or transformed output. The license terminates when the transformation is complete.

8.3 Generated Content

You own the transformed text generated by the Service. However, you acknowledge that similar or identical output may be generated for other users with similar inputs. We make no claims of exclusivity or uniqueness of the generated content.

9. AI-Generated Content and Accuracy

ClarityText uses AI (Claude Sonnet 4 by Anthropic) to transform your text. You acknowledge and agree that:

• AI-generated content may contain errors, inaccuracies, or unexpected results
• You are responsible for reviewing and verifying all transformed content before use
• We do not guarantee the accuracy, completeness, or suitability of generated content
• The Service is a tool to assist with writing, not a replacement for human judgment
• You should not rely solely on AI-generated content for critical, legal, medical, or professional communications without review
• We are not liable for consequences arising from use of AI-generated content

10. Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy, available at claritytext.app/privacy.html. By using the Service, you consent to the collection, use, and disclosure of information as described in the Privacy Policy.

Key points:

• We do NOT store your input text or transformed messages
• Transformations are processed in real-time and not retained
• We collect basic usage statistics to improve the Service
• Your account and payment information is securely stored

11. Disclaimers and Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including:

• Merchantability and fitness for a particular purpose
• Accuracy, reliability, or completeness of the Service or content
• Uninterrupted or error-free operation
• Security or freedom from viruses or harmful components
• That defects will be corrected

We do not guarantee that the Service will meet your specific requirements or expectations. Use of the Service is at your own risk.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• ClarityText, its affiliates, officers, directors, employees, and agents SHALL NOT BE LIABLE for any indirect, incidental, special, consequential, or punitive damages
• This includes damages for loss of profits, revenue, data, goodwill, or other intangible losses
• Our total liability for all claims arising from or relating to these Terms or the Service SHALL NOT EXCEED the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater
• These limitations apply regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise)
• These limitations apply even if we have been advised of the possibility of such damages

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless ClarityText, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from or relating to:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your violation of any applicable laws or regulations
• Content you submit or generate using the Service

14. Term and Termination

14.1 Term

These Terms remain in effect while you use the Service or have an account with us.

14.2 Termination by You

You may terminate your account at any time by contacting us at hello@claritytext.app. If you have a paid subscription, termination will take effect at the end of your current billing period.

14.3 Termination by Us

We may suspend or terminate your account and access to the Service immediately, without prior notice or liability, for any reason, including:

• Violation of these Terms
• Fraudulent or illegal activity
• Failure to pay subscription fees
• Extended period of account inactivity
• At our sole discretion

14.4 Effect of Termination

Upon termination, your right to use the Service will immediately cease. We may delete your account and data, though some information may be retained as required by law or for legitimate business purposes. Provisions that should survive termination (including limitations of liability, indemnification, and dispute resolution) will remain in effect.

15. Dispute Resolution and Arbitration

15.1 Informal Resolution

Before filing a claim, you agree to contact us at hello@claritytext.app to attempt to resolve the dispute informally. We commit to working in good faith to resolve disputes.

15.2 Binding Arbitration

If informal resolution fails, you agree that any dispute arising from or relating to these Terms or the Service shall be resolved through binding arbitration, rather than in court, except as provided below.

• Arbitration will be conducted by a neutral arbitrator in accordance with the American Arbitration Association (AAA) rules
• Arbitration will take place in Houston, Texas, or another mutually agreed location
• The arbitrator's decision will be final and binding
• Judgment on the award may be entered in any court of competent jurisdiction

15.3 Class Action Waiver

YOU AND CLARITYTEXT AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless both parties agree otherwise, the arbitrator may not consolidate more than one person's claims or preside over any form of representative or class proceeding.

15.4 Exceptions

Either party may seek equitable relief in court for infringement or misuse of intellectual property rights. Small claims court disputes are also excluded from arbitration if they qualify.

16. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law principles. Subject to the arbitration provisions above, you agree to submit to the exclusive jurisdiction of courts located in Houston, Texas for resolution of any disputes.

17. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting updated Terms on this page
• Updating the "Last updated" date
• Sending an email notification (for significant changes)

Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms. If you do not agree to the new Terms, you must stop using the Service.

18. General Provisions

18.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ClarityText regarding the Service and supersede all prior agreements.

18.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

18.3 No Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

18.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign or transfer these Terms without restriction.

18.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, natural disasters, or failures of third-party services.

18.6 Third-Party Services

The Service relies on third-party services (Anthropic for AI, Stripe for payments, Supabase for infrastructure). We are not responsible for the performance or availability of these third-party services.

18.7 Export Control

You agree to comply with all applicable export and import control laws and regulations in your use of the Service.
